1Acceptance of Terms

These Terms & Conditions ("Terms") form a binding agreement between you ("Client," "you," or "your") and Memon Infotech ("Memon Infotech," "we," "us," or "our"), an IT agency providing software development, web and app development, IT consulting, and related digital services.

By accessing our website, submitting an inquiry, or signing a proposal or contract with us, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our website or engage our services.

2Our Services

Memon Infotech offers a range of IT services, which may include but are not limited to:

  • Custom software and web application development
  • Mobile app development
  • UI/UX design
  • IT consulting and technical advisory
  • Cloud infrastructure setup and DevOps support
  • Website maintenance and technical support
  • Digital marketing and SEO services (where offered)

The exact scope, deliverables, timeline, and cost of any engagement will be detailed in a separate proposal, statement of work (SOW), or signed contract ("Project Agreement"). In the event of any conflict between these Terms and a Project Agreement, the Project Agreement will take precedence for that specific engagement.

3Quotes, Proposals & Contracts

Any quote or proposal we provide is valid for the period stated in that document, or 30 days if none is specified. Quotes are estimates based on the information available at the time and may change if project requirements change.

A project formally begins only after both parties sign a Project Agreement and, where applicable, the client pays any required advance or deposit.

Scope changes: Any request that falls outside the agreed scope of work will be treated as a change request and may incur additional costs and timeline adjustments, to be agreed upon in writing before work begins.

4Payment Terms

Unless otherwise agreed in writing, the following general payment terms apply:

  • Projects may require an upfront deposit before work commences.
  • Remaining payments are billed according to milestones, monthly retainers, or upon project completion, as specified in the Project Agreement.
  • Invoices are due within the number of days stated on the invoice (typically 7–15 days) unless otherwise agreed.
  • Late payments may result in a pause of ongoing work and may accrue late fees as permitted by applicable law.
  • All fees are exclusive of applicable taxes (such as GST), which will be added where required.

We reserve the right to suspend or terminate services for accounts with overdue payments after providing reasonable written notice.

5Client Responsibilities

To help us deliver your project successfully, you agree to:

  • Provide timely, accurate, and complete information, content, and access needed for the project (e.g., credentials, brand assets, feedback).
  • Designate a point of contact authorized to make decisions and approve deliverables.
  • Review and respond to deliverables, drafts, or requests for feedback within a reasonable timeframe.
  • Ensure you have the legal right to use any content, trademarks, or third-party materials you supply to us.

Delays caused by late feedback, missing information, or unresponsiveness on the client's part may affect the project timeline and are not the responsibility of Memon Infotech.

6Intellectual Property

6.1 Client Deliverables

Unless otherwise stated in a Project Agreement, upon full and final payment, ownership of the final deliverables created specifically for your project (such as custom source code, designs, and content produced for you) transfers to you.

6.2 Pre-Existing & Reusable Assets

Memon Infotech retains ownership of any pre-existing tools, frameworks, code libraries, templates, methodologies, and general know-how used in delivering the project ("Background IP"). We grant you a non-exclusive, royalty-free license to use such Background IP as incorporated into your final deliverables.

6.3 Portfolio Rights

Unless you request otherwise in writing, we reserve the right to display completed work in our portfolio, case studies, and marketing materials, and to describe the nature of the work performed.

6.4 Website Content

All content on this website — including text, graphics, logos, and design — is the property of Memon Infotech or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our prior written consent.

7Acceptable Use of This Website

When using our website, you agree not to:

  • Use the site for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to our systems, servers, or data
  • Introduce viruses, malware, or other harmful code
  • Scrape, copy, or republish site content without permission
  • Interfere with the proper functioning of the website

We reserve the right to restrict or terminate access to our website for anyone who violates these Terms.

8Warranties & Disclaimers

We strive to deliver high-quality work and will perform our services with reasonable skill and care, in line with standard industry practices.

Please note: Except as expressly stated in a Project Agreement, our services and website are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that software will be entirely free of bugs, or that uninterrupted access to any system can be guaranteed at all times.

9Limitation of Liability

To the maximum extent permitted by applicable law, Memon Infotech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, arising from or related to our services or this website.

Our total aggregate liability for any claim arising out of or relating to a project shall not exceed the total fees paid by you to Memon Infotech for that specific project in the six (6) months preceding the claim.

Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.

10Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information shared during the course of the engagement, and to use it only for purposes of the project. This obligation survives the completion or termination of the project for a reasonable period, and may be further detailed in a separate Non-Disclosure Agreement (NDA) where applicable.

11Termination

Either party may terminate a Project Agreement by providing written notice as specified in that agreement, typically with a notice period to allow for orderly wind-down of work.

  • Upon termination, the client is responsible for payment of all work completed up to the termination date.
  • We will deliver any completed work product upon receipt of outstanding payment.
  • We reserve the right to suspend or terminate services immediately in cases of non-payment, breach of these Terms, or unlawful use of our services.

12Third-Party Services

Our services or website may involve or link to third-party tools, platforms, hosting providers, or APIs (e.g., cloud providers, payment gateways, analytics tools). We are not responsible for the availability, content, or practices of third-party services, and your use of them may be subject to their own terms and privacy policies.

13Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or our services shall first be attempted to be resolved amicably through good-faith negotiation, and failing that, shall be subject to the exclusive jurisdiction of the courts of [Your City], Gujarat, India.

14Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. The "Last updated" date at the top of this page will reflect the most recent revision. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms. For material changes, we may notify active clients directly.
